Terms of Use

These terms are the agreement between you and ASUP Communications Inc. for use of the ASUP extension, add-ins, website and related services. By installing ASUP or using the service, you accept them. If you do not accept them, do not install or use ASUP.

Section 01The agreement

"ASUP", "we" and "us" mean ASUP Communications Inc., a Delaware corporation, and its affiliates. "You" means the person using the service. "Service" means the ASUP browser extension, the Outlook add-in, any other ASUP client, the ASUP backend, and asupme.com.

If your organisation has signed a separate written agreement with us covering the service — a pilot agreement, design partner agreement, enterprise order form or data processing agreement — that agreement governs, and these terms apply only where it is silent.

Section 02Who may use ASUP

You must be at least 16 years old and legally able to enter into a contract. If you use ASUP for work, you confirm that you are authorised to accept these terms on behalf of your employer or organisation and to install software on the device and accounts you are using. Where your employer restricts browser extensions or third-party processing of work communications, obtaining approval is your responsibility.

Keep your account credentials secure. You are responsible for activity under your account.

Section 03What the service does

ASUP installs into supported communication interfaces — Gmail, Outlook on the web, Microsoft Outlook, and WhatsApp Web — and analyses the message you are composing. It highlights wording that may create risk, suggests alternatives, and can hold the send action until you have reviewed what it found.

Analysis is performed on ASUP servers and by third-party AI providers. Supported platforms, features and limits may change; we will not remove a material feature you are paying for without reasonable notice.

Section 04Pre-release and pilot status

Parts of the service are in pilot, beta or limited release. Pre-release features may be incomplete, may change or be withdrawn, and may produce unexpected results. They are provided for evaluation, without any service level commitment, and should not be relied on in a workflow where an error would cause serious harm.

Section 05Your licence to use ASUP

We grant you a personal, non-exclusive, non-transferable, revocable licence to install and use the service for its intended purpose, subject to these terms. We reserve all rights not expressly granted.

You may not: copy, modify or create derivative works of the service; reverse engineer, decompile or attempt to derive source code or model prompts, except to the extent that restriction is unenforceable by law; rent, resell, sublicense or provide the service as a service to third parties; remove proprietary notices; or circumvent usage limits, authentication or security controls.

Section 06Your content

You keep all rights in the messages, drafts and files you process through ASUP ("Your Content"). You grant us a limited licence to process Your Content solely to operate the service for you — to analyse it, return results, and maintain and secure the service. That licence ends when the processing ends.

We do not use Your Content to train, fine-tune or improve AI models, and our agreements with our AI providers prohibit them from doing so.

You confirm that you have the right to submit Your Content for processing, including any consent or authorisation needed from your employer, your clients, or the people whose personal data appears in it.

Section 07What ASUP is not

ASUP does not provide legal, regulatory, compliance, financial, medical or professional advice, and using it does not create any professional relationship. A result from ASUP is not a legal opinion, a compliance approval, or a determination that a message is safe to send.

ASUP will not detect every risk, every piece of sensitive information, or every error. It may flag content that is entirely appropriate. Detection depends on language, formatting, context and the limits of the underlying models.

You remain solely responsible for the content of every message you send and for complying with the laws, regulations, professional rules and internal policies that apply to you. Do not rely on ASUP as your only control over confidential, regulated or high-risk communications.

Section 08AI-generated output

Suggestions, rewrites, summaries and extracted values are produced with AI models and may be inaccurate, incomplete or unsuitable for your situation. Check them before you use them. Where ASUP extracts data from a document or computes a value, verify it against the source before acting on it.

Similar inputs may produce similar outputs for different users; we make no claim that output is unique. As between you and us, and to the extent output can be owned, we assign to you our rights in the output generated for you, subject to your compliance with these terms.

Section 09Acceptable use

You may not use the service to:

  • break the law, or infringe anyone's rights, including privacy and intellectual property rights;
  • process communications you are not entitled to access, or monitor another person without a lawful basis and any required notice or consent;
  • send spam, phishing, malware, or harassing, abusive or deceptive messages;
  • attempt to bypass safety controls, extract system prompts, or manipulate the models into producing prohibited content;
  • probe, scan or test the security of the service, or interfere with its operation, other than under a security disclosure programme we have agreed in writing;
  • build a competing product using the service, or benchmark it for publication without our written consent;
  • place an automated or excessive load on the service, or scrape it.

Report security issues to security@asupme.com. We will not pursue good-faith research that follows a responsible disclosure process and does not access other users' data.

Section 10Third-party platforms

ASUP works inside Gmail, Microsoft Outlook and WhatsApp Web. We are not affiliated with, endorsed by or sponsored by Google, Microsoft or Meta, and those names are the trademarks of their owners. Your use of those platforms is governed by their own terms, and you are responsible for ensuring that running ASUP alongside them is permitted in your environment. Those platforms may change at any time in ways that break or limit ASUP, and we are not liable for the consequences.

Section 11Fees

The service is currently offered without charge to pilot and design-partner users. We may introduce paid plans; if we do, we will give you notice before charges apply to you, and you will be able to decline and stop using the service. Where you have a paid plan, fees, billing cycle and taxes are as stated at purchase, fees are non-refundable except where required by law, and unpaid amounts may lead to suspension.

Section 12Our intellectual property

The service, including its software, models, prompts, interfaces, designs, documentation, trademarks and the underlying patent applications, is owned by ASUP and its licensors and is protected by intellectual property law. These terms grant you a licence to use the service, not any ownership of it.

Section 13Feedback

If you send us suggestions or feedback, you grant us a perpetual, irrevocable, worldwide, royalty-free licence to use it without restriction or obligation to you. Please do not include confidential information in feedback.

Section 14Privacy

Our handling of personal data is described in the Privacy Policy, which forms part of these terms. Where we process personal data on behalf of your organisation, the data processing agreement between us and that organisation governs.

Section 15Disclaimers

The service is provided "as is" and "as available". To the maximum extent permitted by law, ASUP disclaims all warranties, express, implied or statutory, including merchantability, fitness for a particular purpose, title, non-infringement, and any warranty arising from course of dealing or usage of trade.

We do not warrant that the service will be uninterrupted, timely, secure or error-free, that it will detect any particular risk or category of content, that its output will be accurate or complete, or that defects will be corrected.

Some jurisdictions do not allow the exclusion of implied warranties, so parts of this section may not apply to you.

Section 16Limitation of liability

To the maximum extent permitted by law, ASUP and its officers, directors, employees and agents will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for loss of profits, revenue, goodwill, data or business opportunity, arising out of or relating to the service, whether in contract, tort or otherwise, even if advised of the possibility.

Our total aggregate liability arising out of or relating to the service will not exceed the greater of the amounts you paid us for the service in the twelve months before the claim, or one hundred United States dollars.

Nothing in these terms excludes liability that cannot be excluded by law, including liability for fraud, wilful misconduct, or death or personal injury caused by negligence.

Section 17Indemnity

You will indemnify and hold ASUP harmless from claims, damages, losses and reasonable legal costs arising from your use of the service in breach of these terms or applicable law, from Your Content, or from your failure to obtain a required consent or authorisation. We will notify you of any such claim and give you reasonable control of its defence, and you will not settle in a way that imposes an obligation on us without our consent.

Section 18Suspension and termination

You may stop using ASUP at any time by uninstalling the extension and closing your account. We may suspend or terminate your access if you breach these terms, if your use creates a legal or security risk, or if we discontinue the service, giving you as much notice as the circumstances allow.

On termination, your licence ends and we delete your data in accordance with the Privacy Policy. Sections 6, 7, 12, 13 and 15 to 21 survive termination.

Section 19Changes to these terms

We may update these terms. The effective date at the top reflects the current version. For material changes we will give notice in the extension or by email at least 14 days before they take effect. Continuing to use the service after that means you accept the updated terms; if you do not, stop using the service.

Section 20Governing law and disputes

These terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of laws rules. The courts located in Delaware have exclusive jurisdiction, and both parties consent to that venue. If you are a consumer, this does not deprive you of the protection of mandatory provisions of the law of your country of residence, and you may bring proceedings in your local courts where the law gives you that right.

Section 21General

Entire agreementThese terms, the Privacy Policy, and any signed agreement with your organisation are the whole agreement on this subject.
SeverabilityIf a provision is unenforceable, the rest stays in force.
No waiverNot enforcing a provision is not a waiver of it.
AssignmentYou may not assign these terms without our consent. We may assign them to an affiliate or in connection with a merger or sale of assets.
Force majeureNeither party is liable for delay caused by events beyond its reasonable control.
NoticesWe give notice by email or in the extension. You give notice to legal@asupme.com.
Export and sanctionsYou confirm you are not located in, and not acting for anyone in, a country or on a list subject to United States or Israeli sanctions or export restrictions.
LanguageThese terms are written in English. A translation is provided for convenience only; the English version governs.
